Recruitly Affiliate Partner Agreement

This Affiliate Partner Agreement ("Agreement") is made between Recruitly ("Company", "we", "us", or "our") and the party executing this Agreement ("Affiliate", "you", or "your"). This Agreement governs your participation in the Recruitly Affiliate Program ("Program").

1. Program Overview

The Recruitly Affiliate Program allows you to earn commissions by referring potential customers to Recruitly's all-in-one recruiting CRM platform. By joining our Program, you agree to comply with all terms and conditions outlined in this Agreement.

2. Enrollment and Eligibility

To participate in the Program, you must:

• Complete the Program application and be approved by Recruitly
• Provide accurate and complete information during the application process
• Have a valid website, blog, social media account, or other online presence
• Be at least 18 years of age or the legal age in your jurisdiction
• Have a valid tax identification number and payment method for receiving commissions

We reserve the right to reject any application or terminate your participation in the Program at our sole discretion.

3. Commission Structure

As an Affiliate, you will earn:

• 20% commission on the monthly recurring revenue (MRR) for a full 12 months after your referral subscribes to Recruitly
• Commission applies to all subscription plans (Solo, Startup, Professional, and Enterprise)
• Commission is calculated based on the actual amount paid by the customer, excluding taxes and fees
• Commission is not paid on refunded subscriptions or chargebacks

4. Tracking and Attribution

Your referrals will be tracked through:

• A unique affiliate link that will be provided to you
• Cookies with a 60-day window (if a visitor returns to purchase within 60 days of clicking your link, you'll still receive full credit)
• IP logging to ensure proper attribution

In case of multiple affiliate referrals, commission will be awarded to the last affiliate whose link was clicked by the customer before purchase.

5. Payment Terms

The following payment terms apply:

• Minimum Referrals: Partners must successfully refer at least 3 customers before commission payments begin
• Payment Threshold: Commission payments are processed once your balance reaches $100 or more
• Payment Methods: Commissions are paid via bank transfer, PayPal, or account credit
• Payments are processed on a monthly basis, within 15 days after the end of each month
• You are responsible for any taxes applicable to your commission payments

6. Affiliate Obligations and Restrictions

As an Affiliate, you agree to:

• Promotional Guidelines: Adhere to our brand guidelines and not engage in misleading advertising
• Disclose your affiliate relationship with Recruitly in accordance with applicable laws
• Not use any trademark, service mark, or trade name of Recruitly in any way that could cause confusion
• Not engage in spamming, domain squatting, or other deceptive marketing practices
• Not bid on Recruitly's trademarks in search engines or advertising platforms
• Not make false or misleading claims about Recruitly or its services

7. Program Changes and Termination

Recruitly reserves the right to:

• Modify any terms of this Agreement at any time
• Change commission rates with 30 days' notice
• Terminate your participation in the Program for any violation of this Agreement
• Terminate the entire Program with 60 days' notice

You may terminate your participation in the Program at any time by providing written notice to us.

8. Confidentiality

You agree to maintain the confidentiality of all proprietary information related to Recruitly, including but not limited to commission rates, marketing strategies, and customer data. This obligation survives the termination of this Agreement.

9. Liability Limitation

Recruitly shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from your participation in the Program or your inability to participate in the Program.

10. Relationship of Parties

Nothing in this Agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Recruitly. You have no authority to make or accept any offers or representations on our behalf.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

12. Acceptance of Terms

By signing up for the Recruitly Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions of this Agreement.
